BY ACCESSING OR USING THE WEBSITE, YOU INDICATE THAT YOU UNDERSTAND AND INTEND THE TERMS OF USE TO BE THE LEGAL EQUIVALENT OF A SIGNED, WRITTEN CONTRACT AND YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, THESE TERMS OF USE.  IF YOU DO NOT ACCEPT THESE TERMS OF USE, THEN YOU ARE NOT AUTHORIZED TO ACCESS OR USE ANY PORTION OF THE WEBSITE.  We reserve the right to modify or amend these Terms from time to time without notice. When you set up a user profile on the Website, the Foundation will require you to provide an email address and password and other information. You agree and represent that all of the information you provide to us is accurate and up-to-date. You are solely responsible for keeping your login information current and confidential. The Foundation will promptly respond to your proper DMCA notice as outlined above.  If the disputed materials were posted by a third party identifiable through our reasonable efforts, the Foundation will try to provide notice to the third party of the claim. If the third party responds, we will provide you with a copy so that you may take any other steps you may consider appropriate.

Repeat Infringer Policy: In accordance with the DMCA, the Foundation has adopted a policy of terminating, in appropriate circumstances and at the Foundation’s sole discretion, account holders deemed to be repeat infringers due to our receipt of multiple DMCA notifications from content owners.

Law and Jurisdiction

These terms of use shall be governed by the laws of California, without regard to conflicts of law rules, and the exclusive jurisdiction and venue for any dispute shall be California. You agree to submit to the jurisdiction of the state and federal courts in California for the purposes of any judicial proceedings relating to or arising from these terms of use.

Miscellaneous

These terms of use and any other agreements, rules, and policies incorporated by reference into these terms of use, including the Foundation’s Privacy Policy, constitutes the entire agreement between you and the Foundation. No waiver of any provision of these terms of use by the Foundation shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these terms of use shall not constitute a waiver of such right or provision. If any provision of these terms of use shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions. These terms of use are not assignable, transferable or sublicensable by you except with the Foundation’s prior written consent. The Foundation may assign its rights and duties under these terms of use to any party at any time without notice to you.
